By using Ubai, users agree to these Terms of Use, and are Users (hereafter referred to as “Users”) of Ubai.

Operational rights of Ubai belong to Shanghai Fentai Co., Ltd. Shanghai, China. By completing the registration process, Users have an agreement with Ubai and accept all Terms of Use. The above mentioned Ubai and Shanghai Fentai Co., Ltd. shall be regarded as one body.

Service

Ubai provides Users with online services including social networking, online discussions, establishing connections, various information tools, and personalized content (hereafter referred to as the “Service”). Unless otherwise stated, new products, new features and enhancements shall be subject to the Terms of Use. You understand and agree that the Service provides according to the current state. Ubai is not responsible for the timeliness, deletion, transmission errors, unsaved changes or any other issues with regard to User communications or personal settings. Ubai reserves the right to suspend any part of the Service for routine maintenance, upgrades or other purposes without prior notice. To use this Service, you should use your own legally qualified internet service provider to get internet access at your own expense. In addition, you should provide and be responsible for all the equipment necessary for internet access, including computer, modem, or other any other access device.

Compliance

You agree to abide by any and all the related laws and regulations of your Country in the matter of Privacy, Copyright  and Information and Communication Technology. Should Ubai have reasons to conclude that any of your behaviors, including but not limited to any of your words and other behaviors, have violated or may violate any of the above mentioned laws and regulations, the service offered by Ubai will be immediately terminated at any time without prior notice.

User Prerequisites

This service is not available to minors under the age of 18 or Users who have been suspended or banned for any reason. Users cannot own more than one active account at any time. In addition, Users are not to sell, resell, or transfer their Ubai account to third parties. If you do not meet these prerequisites, you are not allowed to use the Service.

Rules of service

Ubai is governed by these Terms of Use. Ubai reserves the right to refuse service to anyone for any reason without prior notice.

When applying for web services from Ubai, Users agree to use their real names during registration as well as to provide true, accurate, updated and complete personal as well as corporate information in particular regarding their existing role in the company they are working for (hereafter referred to as “Registration Information”) as required. You should update the above Registration Information as frequently as possible to maintain its accuracy and that it is up-to-date. In the event of any wrong, false or incomplete information, items which are suspected wrong, false or incomplete by Ubai or if you advertise, share no serious content and irrelevant information in your profile, Ubai has the right to edit, suspend or terminate your account. Ubai may refuse your use of the Service in whole or in part now and in future.

Once Users are registered and becomes legal users of Ubai, they will have a registered email address and a password which they set for themselves unless reset by a corporate administration with a higher access privilege.  Users are responsible for keeping their account and password information safely, and are responsible for all the activities and events under their usernames. If you knowingly offer your account information and password to a third party, your account will be suspended or terminated. If Users discover unauthorized use of their account information and password, or any other case of security flaw, they should report it to Ubai immediately. Ubai is not responsible for any loss or damage resulting from Users’ violation of the rules of service.

User behavior

During the registration process of Ubai, Users should provide true personal information, and regularly update the Registration Information. Ubai is not responsible for any problems or consequences resulting from false Registration Information.

While using Ubai, Users shall abide by the relevant state laws and regulations. Users shall not, using Ubai platform, release illegal contents threatening the state security and/or constituting sex and violence. In addition, Users shall not publish contents that are false, harmful, threatening, invasive of another's privacy, harassing, abusive, defamatory, and vulgar or other morally objectionable content.

Ubai has the right to delete content that violates the laws and regulations of the state or violates legal rights of any third party.

It is forbidden to use robot scripts or other automatic systems to create and/or operate accounts.

Users who affect the general stability or operation of Ubai may be suspended or terminated until the issue is resolved.

International Use

In light of the borderless nature of the Internet, you agree to follow all the local laws and regulations applicable, including but not limited to the laws and regulations concerning online behavior and content distribution. You agree to abide by all the applicable data transmission laws and regulations when you transfer technical data from Ubai Servers Location, from your country or region.

Public information posted on Ubai

Ubai does not claim ownership of the materials you provide to Ubai (including feedback and suggestions) or post, upload, input or submit to Ubai or any future Ubai-owned website or its associated services (collectively "Submissions"). However, by posting, uploading, inputting, providing or submitting your Submission you are granting Ubai a perpetual, irrevocable, royalty-free, worldwide, fully paid, assignable right and license to reproduce, repurpose, use, store, modify, edit, translate, distribute or make available any portion or portions of your Submissions as Ubai sees fit in any medium, now known or hereafter developed, for any purpose whatsoever, subject only to the terms set forth in these Terms of Use. No compensation will be paid with respect to the use of your Submission, as provided herein. Ubai is under no obligation to post or use any Submission you may provide and may remove any Submission at any time in Ubai‘s sole discretion. By posting, uploading, inputting, providing or submitting your Submission you warrant and represent that you own or otherwise control all of the rights to your Submission as described in this section including, without limitation, all the rights necessary for you to provide, post, upload, input or submit the Submissions. Ubai and its individual Partners assume no responsibility for the deletion, the inability, or failure to store your Submissions.

User privacy protection

Ubai respects Users’ privacy, and will never publicize, edit, or disclose non-public information to third parties, unless in the following cases:

You agree to share the information with a third party;

You agree to publicize your personal information to enjoy certain products and services;

Abidance of court summons, court order or proceedings;

You violated Ubai’s Terms of Service or other regulations on our website.
